Click Computers General Terms and Conditions

These General Terms and Conditions (the "Terms") govern the provision of all computer and device repair services, IT consulting services, and Managed Services provided by Click Computers ("Click Computers," "we," "us," or "our") to you, the client ("Client," "you," or "your"). By engaging Click Computers for any service, you agree to be bound by these Terms.

1. Scope of Services

Click Computers offers the following categories of services:

1.1. Computer and Device Repair Services

This includes diagnostic, repair, upgrade, and maintenance services for personal computers, laptops, mobile devices, peripherals, and related hardware and software components.

1.2. IT Consulting Services

This includes advisory services, technology assessments, system design, implementation guidance, and project-based support. Consulting services are typically rendered on an hourly or project basis.

1.3. Managed Services (MS)

This involves ongoing, proactive monitoring, management, maintenance, and support of the Client’s IT infrastructure, typically provided under a separate Managed Services Agreement (MSA) which incorporates these Terms.

2. Authorization and Data Backup

2.1. Authorization

You authorize Click Computers, its employees, and agents to perform the services requested on your device(s) or systems.

2.2. Data Backup Responsibility

UNLESS EXPRESSLY ENGAGED TO PROVIDE BACK UP SERVICES, THE CLIENT IS SOLELY RESPONSIBLE FOR BACKING UP ALL DATA, SOFTWARE, INFORMATION, AND FILES STORED ON YOUR DEVICE(S) BEFORE SUBMITTING THEM FOR REPAIR OR SERVICE. Click Computers is not responsible for any loss, corruption, or compromise of data, programs, or information, whether intentional or accidental, which may occur during the service provision. While we take reasonable precautions, there is always a risk of data loss inherent in computer repair and service.

2.3. Data Access

You grant Click Computers access to your data, systems, and premises (if necessary for on-site service) for the sole purpose of performing the agreed-upon services. We will treat all accessed information with strict confidentiality.

3. Service Procedures and Limitations

3.1. Diagnostics

For repair services, a diagnostic fee applies. This fee covers the time and effort required to determine the cause of the issue. If the Client proceeds with the recommended repair, the diagnostic fee will be applied toward the total repair cost, as specified at the time of service initiation.

3.2. Estimates

We will provide an estimate for the cost of repair or service. This estimate is non-binding and may change if further issues are discovered during the service. We will make reasonable efforts to contact you for approval if the revised cost exceeds the original estimate by a predefined percentage (e.g., 20%) or dollar amount, whichever is lower.

3.3. Turnaround Time

Service completion times are estimates and not guarantees. We will strive to complete services in a timely manner but are not responsible for delays caused by parts availability, shipping issues, or unforeseen technical complications.

4. Fees, Payment, and Abandoned Equipment

4.1. Fees and Billing

Fees for services are specified in the Service Agreement, invoice, or rate sheet provided to you. Payment is due upon completion of the service, unless otherwise agreed in writing (e.g., for Managed Services billed monthly).

4.2. Late Payment

Click Computers reserves the right to suspend or terminate services (including Managed Services) for invoices that are past due. Late payments may be subject to a late fee or interest charge as permitted by law.

4.3. Non-Payment and Abandoned Equipment

If, after notification that your device repair is complete, you fail to pick up your equipment or remit full payment within ninety (90) days, the equipment will be deemed abandoned. Click Computers reserves the right to dispose of, sell, or liquidate the abandoned equipment to recoup costs incurred for the service and storage, without any liability to you.

5. Warranties and Disclaimers

5.1. Repair Service Warranty

Click Computers warrants that all repair services will be performed in a professional and workmanlike manner. A limited warranty, typically thirty (30) days, applies to the specific parts replaced and the labor performed for the reported issue. This warranty does not cover subsequent issues unrelated to the original repair or issues caused by misuse, accidents, or modification by the Client.

5.2. Parts

Any new parts installed carry the manufacturer's warranty, if applicable. Used or refurbished parts may carry a reduced or no warranty, which will be disclosed to the Client.

5.3. Software and Consulting

Click Computers provides no warranty, express or implied, regarding the functionality, performance, or results of software installations, virus/malware removal, or IT consulting advice. Results depend on numerous factors outside our control.

5.4. Disclaimer of All Other Warranties

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, CLICK COMPUTERS MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

6. Limitation of Liability

CLICK COMPUTERS’ LIABILITY FOR DAMAGES ARISING FROM ANY CAUSE WHATSOEVER, REGARDLESS OF THE FORM OF ACTION, WILL BE LIMITED TO THE TOTAL AMOUNT PAID BY THE CLIENT FOR THE SPECIFIC SERVICE THAT GAVE RISE TO THE CLAIM.


CLICK COMPUTERS SHALL NOT BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF BUSINESS OPPORTUNITY, EVEN IF CLICK COMPUTERS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.


CLICK COMPUTERS SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY FAILURE, INTERRUPTIONS, OR BREACHES OF SECURITY, REGARDLESS OF CAUSE, THAT MAY RESULT IN LOSS OR CORRUPTION OF DATA, SYSTEMS COMPROMISE, OR FINANCIAL LOSS, INCLUDING THOSE RESULTING FROM CYBERATTACKS, VIRUS INFECTIONS, MALWARE INTRUSION, OR OTHER UNAUTHORIZED ACCESS, EXCEPT TO THE EXTENT THE LOSS IS DIRECTLY CAUSED BY THE GROSS NEGLIGENCE OR WILLFUL MISCONDUCT OF CLICK COMPUTERS IN THE PROVISION OF A SPECIFIC, AGREED-UPON SECURITY SERVICE.

7. Client Representations

The Client represents and warrants that they are the legal owner or authorized representative of the owner of the property or device submitted for service, and that all data stored on the device is legally licensed or owned by the Client.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Williamson County, Texas.

9. Modifications

Click Computers reserves the right to update or modify these Terms at any time without prior notice. The Terms in effect at the time a service is initiated will govern that service engagement.
